Parties Involved:

Supplier: TechSolutions Inc.

Buyer: GreenTech Corp.
Address: 456 Market Street, San Francisco, CA 94105

Description of the Product:

The supplier agrees to provide the following product: Model X1000 Smart Devices, including specifications, quantities, and delivery schedule as outlined in Exhibit A attached hereto.

Terms of Delivery and Payment:

The supplier shall deliver the products to the buyer between __________________ and __________________. Payment terms shall be net 30 days from receipt of invoice, payable via bank transfer or other agreed method.

Confidentiality:

Both parties agree to keep confidential all proprietary information exchanged under this agreement and not disclose it to any third parties without prior written consent.

Governing Law & Dispute Resolution:

This agreement shall be governed by the laws of the State of California. Any disputes shall be resolved through arbitration under the rules of the American Arbitration Association, held in San Francisco, California.

Additional Provisions:

• Any modifications to this agreement must be in writing and signed by authorized representatives of both parties.
• The supplier warrants that the products shall conform to the specifications and be free from defects for a period of twelve months from delivery.
• Both parties agree to comply with applicable export/import laws and regulations.
