Sales Contract Sample

Parties Involved:

Seller: Alice Johnson

Buyer: Bob Williams

Description of Goods:

The Seller agrees to sell, and the Buyer agrees to purchase, the following items: a set of antique furniture, including a dining table, four chairs, and a vintage cabinet, as described in attached Exhibit A.

Purchase Price and Payment:

The total purchase price shall be $5,000, payable as follows: a deposit of $1,000 upon signing this agreement, with the balance of $4,000 due upon delivery or completion of transfer, by bank transfer or certified check.

Delivery and Transfer of Ownership:

Ownership of the goods shall transfer to the Buyer upon full payment and delivery of the items to the Buyer’s specified location. The Seller shall arrange for delivery within 15 days of the signing date.

Warranties and Representations:

The Seller warrants that the goods are free from liens and encumbrances and conform to the description provided. The Buyer acknowledges inspecting the goods before purchase and accepts them as-is.

Governing Law:

This agreement shall be governed by and construed in accordance with the laws of the State of California. Any disputes shall be resolved in the courts located in San Francisco County.

Additional Provisions:
