Parties:

Member 1: Alex Johnson

Member 2: Maria Lopez

Purpose of the LLC:

The purpose of this LLC is to engage in lawful business activities in the State of New Mexico, including but not limited to consulting, investment, and real estate operations.

Management Structure:

The LLC shall be managed by the Members collectively. Decisions shall be made by a majority vote unless otherwise specified in this agreement.

Initial Capital Contributions:

Member 1 shall contribute $50,000, and Member 2 shall contribute $50,000, in cash, toward the LLC’s initial capital.

Distribution of Profits and Losses:

Profits and losses shall be allocated to Members in proportion to their respective capital contributions, unless otherwise agreed in writing.
