Product Description:

The supplier agrees to supply, and the retailer agrees to purchase, the following products: electronic gadgets, accessories, and related items, as listed in Schedule A, subject to the terms and conditions of this agreement.

Terms of Sale and Payment:

The retailer shall purchase products at the prices listed in Schedule B. Payment shall be made within 30 days of invoice receipt via bank transfer or other agreed method. Orders shall be placed according to the ordering procedures outlined herein.

Delivery and Risk of Loss:

The supplier shall deliver products to the retailer’s premises or other specified location. Ownership and risk shall transfer upon delivery and acceptance of goods.

Obligations of the Parties:

The supplier agrees to provide products that meet the agreed specifications and quality standards. The retailer commits to promoting and selling the products in accordance with applicable laws and the terms of this agreement.

Governing Law:

This agreement shall be governed by and interpreted in accordance with the laws of the State of Illinois. Any disputes shall be resolved in the courts of Sangamon County, Illinois.
