Purpose of Agreement:

The purpose of this agreement is to ensure that both parties refrain from circumventing each other to directly or indirectly do business with each other’s contacts, clients, or partners introduced during the course of their collaboration.

Non-Circumvention:

Both parties agree not to circumvent, attempt to circumvent, or assist others in circumventing each other’s business relationships or contacts introduced during this agreement, for a period of __ years from the date hereof.

Confidentiality:

Parties agree to keep confidential all proprietary information, contacts, and negotiations related to this agreement and not to disclose such information to third parties without prior written consent.

Term:
