Invention Assignment Agreement Sample

Parties:

Assignor: Alice Johnson
Address: 789 Maple Street, Los Angeles, CA 90001

Assignee: Tech Innovations LLC
Address: 456 Technology Drive, San Francisco, CA 94105

Recitals:

WHEREAS, the Assignor has developed certain inventions and related intellectual property; and

WHEREAS, the Assignee desires to obtain all rights, title, and interest in such inventions; and

NOW, THEREFORE, in consideration of the mutual covenants contained herein, the parties agree as follows:

Definitions:

“Inventions” shall mean all inventions, improvements, discoveries, processes, or works of authorship conceived or reduced to practice by the Assignor during the term of this agreement, related to the business or research of the Assignee.

Assignment of Rights:

The Assignor hereby assigns to the Assignee all rights, title, and interest in and to the Inventions, including all intellectual property rights therein. The Assignor agrees to execute any additional documents necessary to perfect said assignment.

Confidentiality:

The Assignor shall keep confidential all proprietary information related to the Inventions and shall not disclose such information to third parties without prior written consent from the Assignee.

Warranties:

The Assignor warrants that the Inventions are original, and that they are free of any third-party rights or claims. The Assignor shall indemnify the Assignee against any claims arising from breaches of this warranty.

Governing Law:

This agreement shall be governed by and construed in accordance with the laws of the State of California. Any disputes shall be resolved in the courts located in Los Angeles County.

Miscellaneous:

• This agreement constitutes the entire understanding between the parties.
• Any amendments must be in writing and signed by both parties.
• If any provision is deemed invalid, the remaining provisions shall remain in full force.
