Purpose of Disclosure:
The Disclosing Party intends to share certain confidential and proprietary information related to a new business idea for the purpose of exploring potential collaboration or investment opportunities. The Receiving Party agrees to keep such information confidential.
Definition of Confidential Information:
Confidential Information includes, but is not limited to, business plans, ideas, strategies, technical data, prototypes, and any other proprietary information disclosed verbally, in writing, or by other means, that is designated as confidential or that reasonably should be understood to be confidential.
Obligations of the Receiving Party:
The Receiving Party shall not disclose, reproduce, or use the Confidential Information for any purpose other than evaluating the potential business relationship. The Receiving Party shall take all reasonable measures to protect the confidentiality of the information.
Term of Agreement:
This agreement shall commence on the date signed below and continue for a period of two (2) years unless terminated earlier by written agreement of both parties.
Return or Destruction of Confidential Information:
Upon termination, the Receiving Party agrees to return or destroy all Confidential Information and any copies thereof, upon the request of the Disclosing Party.
Miscellaneous:
- This agreement shall be governed by and construed in accordance with laws of the State of California.
- No license or transfer of intellectual property is granted under this agreement.
- This agreement constitutes the entire understanding between the parties regarding confidentiality and supersedes any prior agreements.
