Purpose of the Agreement:

This Operating Agreement outlines the management structure, duties, and responsibilities of the Members in the XYZ LLC, established for the purpose of [business purpose].

Management and Membership Interests:

The LLC shall be member-managed, with each Member holding the following percentage interests:
Alice Johnson: 60%
Bob Williams: 40%

Capital Contributions:

Members agree to contribute the initial capital as follows:

Profits, Losses, and Distributions:
