Parties:

Formation and Purpose:

This Limited Liability Company (the “Company”) was formed under the laws of the State of Oregon. The purpose of the Company is to engage in lawful business activities as agreed upon by the Members.

Management Structure and Voting:

The Company will be managed by its Members unless otherwise specified. Decisions shall be made by a majority vote unless a different voting threshold is required by this agreement or law.

Capital Contributions:

Members shall contribute capital as set forth in Schedule A. Additional contributions may be made upon mutual agreement.

Profits, Losses, and Distributions:

The profits and losses shall be allocated in proportion to Members’ respective capital contributions. Distributions shall be made as determined by the Members.

Dissolution:

The Company may be dissolved upon agreement of Members or as otherwise provided by law. Upon dissolution, assets shall be distributed in accordance with Members’ capital accounts.

Miscellaneous:

  • Amendments to this agreement require written consent of all Members.
  • Governing law shall be the laws of the State of Oregon.
  • Any disputes shall be resolved through arbitration or courts in Portland, Oregon.
