Delaware LLC Operating Agreement Sample
Parties Involved:
Member 1: Alpha Innovations LLC
Address: 100 Tech Avenue, Wilmington, DE 19801
Member 2: Beta Solutions LLC

Formation:
The Members agree to form a Delaware LLC pursuant to the Delaware Limited Liability Company Act. The name of the LLC shall be “Alpha Beta LLC”.
Purpose:
The purpose of the LLC is to engage in any lawful business activity allowed under Delaware law.
Management:
The LLC shall be managed by the Members directly, or by appointed Managers, as specified herein. The Members shall have voting rights proportional to their ownership interests.
Capital Contributions:
Member 1 shall contribute $50,000. Member 2 shall contribute $50,000. Additional contributions shall be made upon unanimous agreement of the Members.
Profits, Losses, and Distributions:
Profits and losses shall be allocated to Members in proportion to their capital contributions. Distributions shall be made at times and in amounts determined by the Members.
Dissolution:
The LLC may be dissolved upon the unanimous consent of the Members or as provided by law. Upon dissolution, assets shall be distributed first to satisfy liabilities and then to the Members in proportion to their respective capital interests.
