Purpose of this Joinder:

The Joining Party agrees to become bound by the terms and conditions of the Agreement among the Existing Parties, as referenced below, and to assume all rights and obligations therein.

Reference to Original Agreement:

This Joinder Agreement is made in connection with the Master Agreement dated _______ between the Existing Parties, as may be amended from time to time.

Joining Terms:

The Joining Party shall adhere to all applicable provisions of the Master Agreement and shall have the same rights and obligations as the Existing Parties regarding the subject matter therein.
