Parties Involved:

Member 1: Alice Johnson

Member 2: Bob Williams

Purpose of the LLC:

The purpose of this Limited Liability Company is to engage in [business activity], and any other lawful activities permitted under New York State law.

Management Structure:

This LLC shall be managed by its Members. Decisions shall require the approval of Members holding a majority interest, unless otherwise specified in this agreement.

Capital Contributions:

Members shall contribute capital as follows:
